INFORMATION ABOUT CANCELLATION RIGHT OF CANCELLATION

As consumer, you have the right to cancel the contract in writing within 14 days without having to give any reasons for cancellation. Electronic data transfer is sufficient to meet this form e.g. by e-mail or fax. The cooling-off period starts as soon as you receive this advice in text form, but not prior to conclusion of the contract and also not prior to our ful-filment of the obligations to provide you with information in accordance – with article 246 EGBGB (Introductory Act to the German Civil Code). The cancellation period is deemed to have been met if the notice of can-cellation is sent in good time. Your SGS Entities

1. SCOPE OF CONTRACT
1.1 These General Terms and Conditions of Business („GTCB“) apply to all training courses and professional development, exam courses („Seminar“ or „Seminars“) as well as the associated tea-ching materials and add-on mo-dules such as „e-learning“, which the Customer commissions from or contracts with the respective SGS Entity to deliver.
1.2 By awarding the contract to the SGS Entities these GTCB are deemed to have been accepted unless the Customer expressly objects to their validity when awarding the contract. From the time that they come into force, changes to the GTCB also become an integral part of current contracts if the Customer, despite his special attention having being brought to his right of objection, fails to object to the change within one month of notification.
1.3 The Customer‘s general terms and conditions of business do not have any legal effect.

2. REGISTRATION AND CUSTOMER ORDER 2.1 The registration and/or Customer order must be effected either in writing by post, fax or online www.sgsgroup.de/training or un-der the above-mentioned e-mail addresses. Registration or placing of an order constitutes the Customer‘s binding contrac-tual offer to attend the Seminar and/or intention to book the Seminar that has been ordered. After verification, the Customer receives written or electronic confirmation of registration, re-sulting in formation of the con-tract. Execution of the order is also deemed to be acceptance of the contract.
2.2 Student places are always limited; they are allocated in the order of registration.
2.3 The Customer is required to check, on receipt, that all details of the order confirmation are correct. If the details are at vari- ance with the Customer‘s order, the Customer is required to object to the contents of the confirmation of order within seven days of re-ceiving the confirmation by con-tacting the respective SGS Entity in writing.

3. ATTENDANCE FEES AND PRICES 3.1 All attendance fees and prices quoted by the respective SGS Entity are net prices and subject to the statutory rate of value-added tax.
3.2 The Seminar costs cover the attendance fee, working documents, certificates of attendance and catering during the day.
3.3 Additional exam fees as well as costs for issuing certificates, e.g. by the IRCA („International Register of Certificated Auditors“) will apply to some exam courses.

4. HOTEL COSTS
The Customer is responsible for accommodation costs and meals outside Seminar hours. Many hotels of-fer special rates for those attending SGS Entity Seminars. However, the respective SGS Entity does not guarantee the availability of hotel rooms.

5. INVOICING 5.1 The invoice is issued before the start of the relevant event, or, for combined bookings, before the start of the first event.
5.2 Unless otherwise stipulated in the invoice, payment of the net amount must be made to the respective SGS Entity within 14 days of receipt of the invoice.

6. RUNNING OF COURSES AND CANCELLATIONS 6.1 Seminars do not run until the minimum number of participants has been reached.

6.2 The respective SGS Entity is entitled to cancel a Seminar for financial or organizational reasons. The respective SGS Entity also reserves the right to change lectur-ers and locations as well as dates, and to make changes to the run-ning of the programme. The Cus-tomer will always be informed in good time of any changes that are made. Any claims by the Customer in relation to the measures set out in this clause are excluded.
6.3 Furthermore the Customer does not have any claim to compensation for a day of the Seminar missed by the Customer or his participants.

7.1 Cancellations of Seminar attendance must be made in writing. Electronic data transfer is sufficient to meet this form e.g. by fax or e-mail.
7.2 The Customer may cancel attend-ance at a Seminar free of charge provided that the respective SGS Entity receives notice of cancella-tion at least four (4) weeks prior to the start of the Seminar. Cancel-lations received by the respective SGS Entity less than four (4) weeks, but at least two (2) weeks prior to the start of the Seminar, will incur a cancellation charge of 30 % of the attendance fee. For cancellations received by the respective SGS Entity less than two (2) weeks prior to the start of the Seminar, the full attendance fee will be charged.
7.3 The start date of all events covered by a combined booking is deemed to be the start date of the first event. Once the cancellation period has expired before the start of the first event the subsequent events of the combined booking can no longer be cancelled either. A combined booking is the booking of several mutually independent training courses benefitting from the applicable price reductions.
7.4 If the Customer has received a dis-count from the respective SGS En-tity, that particular discount will apply only to performance of the contract. In the event that the Customer cancels a Seminar, the cancellation fees will be based on the full Seminar fee.

7. CANCELLATIONS

8. CHANGES TO BOOKINGS
If the Customer wishes to change a booking, notice of this must be given in writing (by fax or e-mail is sufficient). However, changes to bookings are dependent on the individual case and therefore only possible as a goodwill gesture on the part of the respective SGS Entity.

9. IN-HOUSE TRAINING 9.1 If the Customer would like to postpone the date of an in-house training course (i.e. a Seminar run on the Customer‘s premises), this can be done free of charge provided that the respective SGS Entity receives the appropriate written notification (by fax or e-mail is sufficient) at least four (4) weeks prior to the originally scheduled start of the Seminar. However, the date can only be postponed once by a maximum of three (3) months. The respective SGS Entity will propose several optional dates to the Customer, taking any period for the courses preferred by the Customer into account, and the Customer will be required to make a binding booking for one of these dates.
9.2 If nonetheless the Customer fails to make a booking for one of the proposed dates, the respective SGS Entity reserves the right to charge the full price for the in-house training course.
9.3 The Customer is required to pro-vide certain assistance (details of participants, details of location etc.). If the Customer negligently fails to do so, the respective SGS Entity is entitled to cover the damage incurred in the form of additional expenditure.

10. INTELLECTUAL PROPERTY RIGHTS
The Customer receives extensive documents in connection with the Seminars. All rights to these documents or parts therefore remain with the respective SGS Entity or the relevant author. The documents must not be copied or published without the prior written permission of the respective SGS Entity.

11. LIABILITY 11.1 If a Seminar is cancelled because there are too few participants or for reasons for which the respective SGS Entity is responsible, any attendance fees already paid will be refunded. If the Customer has booked several Seminars, the fees for a partial cancellation will be refunded pro rata, based on the total price. All further claims are excluded.
11.2 Except for material obligations arising from the contractual relationship, the respective SGS Entity only accepts liability for itself and its vicarious agents for damage proven to be due to wilful or grossly negligent breach of duty within the context of the contractual relationship or for dam-age that is still deemed to be typi-cal and foreseeable. Liability is limited to ten times the seminar fee, but not exceeding € 10,000 per claim and calendar year.
11.3 The limitation period for compensation claims arising from breaches of duty and for claims arising from a defect, i.e. claims for supplementary performance, self-remedy along with reimburse-ment for necessary expenditure incurred and for compensation or reimbursement for futile expenditure, is 12 months from the statutory commencement of the limitation period. This does not apply to liability in the event of criminal intent, fraudulent con-cealment of a defect or absence of a guaranteed property.
11.4 The respective SGS Entity does not accept liability for the loss or theft of items that the Customer or his employees have brought to Seminars.

No liability is accepted if the Seminar start is delayed or cancelled in its entirety due to force majeure. The respective SGS Entity does not ac-cept any liability for consequential damage arising from any possible incorrect and/or incomplete contents of the lectures and/or Seminar documents. 12. DATA PROTECTION
The data relating to the Customer or the participants are processed electronically and only utilised for internal purposes at SGS as regards the contractual fulfillment.
13. GENERAL PROVISIONS 13.1 The claims of the respective SGS Entity can be offset or a right of retention exercised only if the Customer‘s counterclaim is undisputed or has legal force.
13.2 To be effective, unless otherwise agreed in the relevant contract, deviations from these GTCB as well as changes and additions to a contract concluded between the Customer and SGS require an agreement in written form. Electronic data transfer is sufficient to meet this form e.g. by e-mail or by fax. Oral side agreements only become binding if confirmed by the respective SGS Entity in writing.This also applies to any changes to these GTCB.
13.3 Certificates of attendance as well as Certificates of attend-ance including a successfully completed knowledge test (“Certificates”) may not be altered by the Customer.
13.4 The legal venue, in so far as permitted by law, is Hamburg. Notwithstanding the above, the respective SGS Entity is entitled to institute legal proceedings at the place of the Customer‘s registered office.
13.5 The legal relationship between the respective SGS Entity and the Customer is subject to the law of the Federal Republic of Germany, under exclusion of the UN Convention on Contracts for the International Sale of Goods and the provisions under German law on the con-flict of laws



Terms of Use for the SGS Academy

1.1.1.1 1. Scope of Application for Terms of Use
These Terms of Use apply to the online services offered by the SGS Academy.

1.1.1.2 2. User Account
(1) It is necessary to create a user account to use our services to book courses. A username and password ("login data") are required to create the account.
(2) A current email address for the user is required to create a user account. This email address also serves as the method of communicating with SGS.
(4) In the user account, users can administer their personal data and retrieve certificates for the courses they have completed successfully. The user account can also be used to book courses at the SGS Academy.

1.1.1.3 3. Bookings and Usage
(1) Users can choose and book one or more courses from the online catalog on the SGS Academy’s website. The shop page guides the user through the steps of the booking process.
(2) A course will only take place when the minimum number of required participants has been reached. Furthermore, the SGS Terms and Conditions for Training and Further Education apply and can be retrieved from our shop web page.
(3) Users will promptly receive an invoice with the course fees for the course booked before the course begins. The terms of payment are derived from the SGS Terms and Conditions for Training and Further Education found on our website.

1.1.1.4 4. Usage Rights
The entire content of our website, including the texts, images, graphics, audio and video data, are our property and may not be copied, modified, transmitted, reused, made newly available, exploited or otherwise used for public or commercial purposes without our prior written consent unless expressly stated otherwise. We would like to point out that a violation of our copyrights or other protective rights may result in civil and/or criminal law consequences.

1.1.1.5 5. Liability

(1) Website Content
We assume no liability for the timeliness, accuracy, completeness or quality of the information available in the online offers. Liability claims made against the author based on material or non-material damages that were caused either by the use or non-use of the content presented or by the use of incorrect or incomplete content are generally excluded provided there is no proof that we were willfully or grossly negligent. All offers are non-binding. We expressly reserve the right to change, supplement or delete individual pages or all online offers without prior notice or terminate offers for a specified period of time or permanently.

Germany") take security and data protection regarding the personal data obtained in the course of their 
activities very seriously. For this reason, our websites are operated in accordance with the respective 
applicable laws on data protection. In the following, we will explain what data we store, how we handle 
this data and to whom we make it available. 

When you visit a website of any SGS company or use our services, you expressly agree to the procedure 
described in this privacy statement for the processing and use of your personal data. 

I. Our Views On Data Protection 

The companies of the SGS strive to provide most of the services on their respective websites for anon- 
ymous use. In this case, anonymous means that personal data of individuals is not collected. 
If, however, the storage of your personal data is required, we will store the data only in accordance with 
the applicable laws or within the framework of a consent issued by you and use this data in accordance 
with the purpose we have specified and informed you of. Without your explicit consent, SGS Group

ll. Which Data Do We Collect? 

In general, you can use and access all the SGS websites without having to disclose any of your personal 
information. 

You can search our website anonymously to find out about the offers and content on our e-learning 
platform. If you would like to use our e-learning platform to book courses, we would require personal 
data from you to process your booking. 

When using other SGS websites, however, certain SGS company websites may store one or more of 
the following types of data in order to offer better products and services and provide you the option to 
submit an application online: 

1. Data for personal identification 

Personal data is data that makes your identification possible. Personal data is required when you order 
a service from SGS, create an account, send us feedback, receive a newsletter or submit an application 
online. Personal data includes specifically the name, date of birth, address (both billing and home ad- 
dress), email address, telephone number and, in certain cases, information on the sector and product 
and, possibly, a credit card or other means of payment. 

2. Data without personal identification 

Data without identification of the person refers to such data that is merely statistical in nature and on its 
own does not identify a specific natural or legal person. This data is generated during your visit to SGS 
company websites and includes, for example, the domain from which you access the SGS company 
website, the operating system used, the date and time and the IP address from which you access the 
site. 

3. Access to our web pages and cookies 

Any access to our web pages and any retrieval of the data stored on these pages is protocolled. This 
serves internal system-related and statistical purposes. The following information is protocolled: IP ad- 
dresses of the requesting computers, messages via the web browser and requesting domain, name of 
the page called up, name of the file retrieved, transferred data volume and date and time of the retrieval.

Any additional personal data will only be recorded when you as a user of our websites voluntarily provide information, for example, in the context of an inquiry or registration, or when concluding a contract.

4. Usage of your data in SGS Academy 

SGS offers e-Learning content worldwide from a single platform. This e-learning platform is provided by 
the company Seertech Solutions PTY LTD, Level 7, Suite 701, 59 Goulburn Street, Haymarket, NSW 
2000 Australia www.seertechsolutions.com. The European branch of Seertech Solutions is located at 
200 Aldersgate Street, London ECIA 4HD, UK. The data for iPlus e-learning for the region Europe, 
Middle East and Africa is hosted on cloud service provider Amazon Web Services (AWS). 
Seertech is independently certified in accordance with TRUST e

You can first take a look at the catalog of training courses in SGS Academy. When doing so, none of 
your personal data will be stored. If you choose to create a personal account in SGS Academy, the 
following personal data will be processed in your account: surname, first name, address, organiza- 
tion/employer and email address. We require this personal data to enable you to participate in SGS e- 
learning courses and to allow SGS to administer the booked courses and payments and to be able to 
send you learning materials, notifications and certificates. 

In the course of setting up your customer account in SGS Academy, a cookie from SGS Academy will 
be created that will save your login data. This saves you from having to re-enter your login information 
and settings for SGS Academy each time you re-enter the page. However, if you wish, you also have 
the option to refuse the storage of cookies. 

All of the courses offered by SGS that you have successfully participated in will be managed in your 
personal SGS Academy account. The certificates earned are stored on the iPlus/AWS servers in the 
Dublin AWS region and can be retrieved at any time. In the event you wish to delete your personal 
account, please note that SGS will keep the certificates for only a limited period of time. 

Our courses are held by Trainers. Each course is intended to provide an optimum experience and learn- 
ing result. To ensure this, our Trainers need to prepare themselves taking the current knowledge and 
experience of the participants of a course into account. To enable the trainers to gain this information 
they can access the Participant Information of the course assigned to them and are provided with your 
Name, E-Mail-Address and (if applicable) the company where you work. This information is exclusively 
used for preparation of the course and not for any other means. 

Your SGS Academy E-Learning personal data will not be used for purposes other than those listed here. 

Ill. What Happens To The Data Collected? 

With your prior consent, personal data may be included in our contact and administration databases. 
This enables us to maintain our relationship with you more efficiently and help us select interesting topics 
and offers for you and send you the relevant information material. 

The evaluation of data without personal identification is common and necessary to ensure the server's 
operation and to create general access statistics in order to make our offers more user-friendly so that 
we can meet the desires and needs of our users. This data is not combined with other data sources and 
is deleted following a statistical evaluation. 

IV. Does SGS Pass On The Data It Receives To Third Parties? 

Data about our customers, our applicants or interested parties are an important element in our success- 
ful business activities. Therefore, under no circumstances does SGS sell the data it receives to third 
parties. 

Generally, the information you provide to SGS company web pages is collected exclusively in the data- 
bases of the respective individual SGS company. Only in exceptional cases will it be passed on to other 
SGS companies. Should this occur, you will be informed prior to the data collection, and you may choose 
whether or not to expressly agree to the data transfer. 

SGS companies passes on the personal data received from you online only in the following 
cases: 
1. When it is necessary to transfer personal data to another SGS company in order to fulfill the 
purpose for which the information was provided. 

2. When data is entered on an SGS company website, for example, as part of an application pro- 
cess, this data is forwarded to other SGS companies (also internationally) provided that you 
explicitly agree to this process. 

3. Only to the extent necessary when forwarding data to third parties and subcontractors who 
perform specific tasks on behalf of SGS to enable them to fulfill their tasks within the scope of 
the storage and use of your personal data as defined by SGS. 

4. When SGS has a legal obligation to disclose the data. This is the case when government insti- 
tutions (e.g., law enforcement authorities) ask us for information or when we receive a judicial 
order to provide this information, or the provision of this information is required to justify or pro- 
tect legal claims or to defend SGS against legal complaints. Naturally, we protect the confiden- 
tiality of your identity. 

V. How Does SGS Protect Your Information? 

Your personal data provided to us will be secured using the appropriate technical and organizational 
measures in such a way that they are inaccessible by unauthorized third parties. Only authorized SGS 
employees will have access to your personal data. 

Personal data will only be passed on to third parties when this is necessary for the performance of a 
contract concluded with you for an SGS service and/or in individual cases where a legal obligation exists. 
When service providers are based in the United States and therefore a transfer personal data to the 
United States is required, we will inform you of the respective purpose for which your data is needed. 

SGS company websites may contain links to other websites. SGS has no influence on these sites and 
therefore does not accept any liability for the privacy policies or content of these other websites. 

VI. Your Rights 

Naturally, you have the sole right to decide whether, for what period and for what purposes we may use 
your data. Furthermore, you alone determine whether your data may be passed on to third parties or 
other SGS companies and whether we may use your data for consulting, advertising and market re- 
search purposes. You may revoke this agreement in writing or by email at any time. The revocation 
should be directed to the mailing address or email address below. 

You have the right to receive information about the data stored at SGS that relates to you. You also 
have the right to correct incorrect data, block data and delete data. 

We expressly point out that our employees are obliged to comply with data secrecy in accordance with 
the German Federal Data Protection Act.
